  • As a Seller (If Applicable): You must possess all mandatory business licenses, commercial registrations, and permits required by the relevant authorities in KSA to conduct retail activities.

2.2 Account Verification

During registration, you must provide comprehensive, accurate, and truthful documentation. We reserve the absolute right to reject any account registration request without obligation to provide justification, and to conduct all necessary background, credit, or identity verification checks.

Upon successful validation, your account remains active for an indefinite duration, subject to suspension, restriction, or termination under the terms of Clause 6.

3.1 Security and Account Management

When utilizing the Services, you acknowledge and agree that you:

  • Are solely responsible for maintaining the strict confidentiality of your account credentials, login sequences, and passwords.
  • Accept full legal and financial responsibility for all activities, transactions, and declarations made under your account profile.

Furthermore, you are strictly prohibited from engaging in the following behaviors:

  • Undermining or falsifying the platform’s public feedback, review, and rating mechanisms.
  • Distributing bulk electronic spam, pyramid schemes, computer viruses, or malicious code designed to compromise user data or hardware integrity.
  • Infringing upon any intellectual property rights (including copyrights, trademarks, patents, or trade secrets) belonging to us or any third party.
  • Utilizing data mining tools, web scrapers, or automated bots to harvest platform data or circumvent our technical system boundaries.
  1. Warranties, Representations, and Undertakings

You explicitly warrant and declare that:

  • Your use of the platform will remain in strict compliance with all local and international statutory laws, consumer protection acts, and privacy frameworks.
  • You possess the absolute legal authority to enter into these Terms of Use, and your execution of this agreement does not breach any pre-existing contracts or judicial orders.
  • If establishing an account on behalf of a corporate entity, you are an authorized agent empowered to bind said enterprise to these terms.
  • Any promotional copy, product media, listings, or user reviews you upload do not infringe upon the intellectual property or publicity rights of any third party globally.

Disclaimer of Warranties: Except as expressly specified in writing, our Services, content, and system frameworks are delivered on an “as is” and “as available” basis. We disclaim all warranties—express, implied, or statutory—including without limitation the implied warranties of merchantability, compliance, security, error-free operations, or fitness for a particular purpose. Product descriptions may occasionally contain unintentional typographical errors; we assume no responsibility for data inaccuracies provided by independent third-party sellers.

  1. Liability, Indemnities, and Financial Caps

5.1 Unrestricted Statutory Liability

5.2 Exclusion of Consequential Damages

Subject to Clause 5.1, protechksa, its parent companies, subsidiaries, directors, employees, or licensors shall not be held liable under any legal theory (contract, tort, negligence, or statutory duty) for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of business profits, data corruption, operational downtime, or technical hardware damage arising out of your reliance on platform guidance.

5.3 Financial Liability Cap

Subject to Clause 5.1, if any limitation within these terms is found unenforceable by a court of competent jurisdiction, our cumulative financial liability to you shall be capped at the lowest of the following benchmarks:

  1. The purchase price of the specific item in dispute along with its original shipping fee;
  2. The aggregate amount of service fees you paid to us during the twelve (12) month period preceding the action giving rise to liability; or
  3. SAR 300.

5.4 Indemnification Covenant

You agree to defend, indemnify, and hold harmless protechksa, its affiliates, directors, agents, and subcontractors from and against all legal claims, losses, damages, liabilities, and expenses (including defense attorney fees) resulting from your violation of these Terms of Use, your misuse of the Services, or your infringement of any third-party intellectual property or data privacy rights.

  1. Account Suspension, Termination, and Abuse Policies

6.1 Discretionary Rights

We reserve the absolute right, without prejudice to our other legal remedies and without any prior liability to you, to limit, suspend, or permanently terminate your account access, remove hosted catalog items, or cancel pending orders if we suspect a violation of these terms.

6.2 Inventory and Bulk Ordering Abuse

The consumer platform is intended for retail purchase. Accounts suspected of commercial hoarding or layout exploitation will be flagged. Inventory Abuse and unauthorized bulk ordering includes, but is not limited to:

  • Purchasing items strictly for commercial retail arbitrage or resale rather than self-consumption.
  • Placing multiple distinct orders for identical high-demand products utilizing the same delivery address or payment instrument.
  • Exploiting a technical loophole, software glitch, or system latency to clear stock or generate artificial pricing.
  • Supplying intentionally falsified or unverified delivery coordinates.

6.3 Fraudulent and High-Risk Activity Matrix

An account may be permanently suspended and legal recourse pursued if you meet any of the high-risk behavioral indicators detailed below:

Upon account termination, all accumulated promotional credits, loyalty points, or digital rewards associated with your profile are permanently voided. Transaction data logs will be retained securely in our archives solely for tax, legal, and compliance purposes. Any legitimate balances tied to a canceled product order that is free of fraud will be refunded to the original payment source.

  1. Governing Law and Dispute Resolution

7.1 Governing Law

These Terms of Use, along with any contractual or non-contractual disputes arising from your interaction with our Services, shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia (KSA).

7.2 Forum for Disputes

If you have any operational concerns or complaints, please initiate an informal resolution request through our account dashboard using the “Need Help?” interface. If a mutual settlement is not reached within forty-five (45) days of initial formal notice, all claims or legal disputes arising under these terms shall be submitted to the exclusive jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
