1. Introduction

These Terms of Sale (the “Terms”) govern the supply and purchase of products listed on the website www.protechksa.online and its associated mobile applications (collectively referred to as the “Site”). The Site is owned and operated by Protech IT Solutions for Trading LLC (referred to as “we”, “our”, or “us”), providing services to you as the buyer (“you” or “your”).

Please read these Terms carefully before submitting an order. By placing an order on the Site, you agree to be legally bound by these Terms with immediate effect. Your use of the Site is also governed by our Privacy Policy, which is incorporated herein by reference.

2. Order Placement and Acceptance

2.1 Product Supplier

Products offered on the Site may be sold directly by us or by registered local or international third-party merchants. The identity of the seller is specified on the relevant product page.

2.2 Order Acceptance

Our acceptance of your order occurs when we issue a formal written confirmation (via email or mobile messaging). If an order cannot be processed or accepted, we will notify you in writing or via telephone (followed by written notice), and no charges will be levied against you.

2.3 Payment Terms

By executing a purchase, you authorize us or our secure third-party payment gateways to process your credit/debit card or payment details for the total order value. Accepted payment instruments include:

• Credit or Debit Cards
• Digital Wallet balances maintained on the Site
• Cash on Delivery (COD), subject to a maximum transaction threshold of SAR 6,500

To facilitate seamless transactions, you grant us authorization to establish a payment profile on your behalf with our third-party processors, subject to their respective terms. We assume no liability for any loss or discrepancy resulting from third-party payment processing. We reserve the right to amend, add, or withdraw accepted payment methods at our discretion without prior notice.

2.4 Order Cancellation by the Buyer

You retain the right to cancel your order at any time prior to the dispatch/shipping of the items from our fulfillment facilities.

2.5 Order Cancellation by Us

We reserve the right to cancel your order under the following circumstances:

• Failure to clear due payments.
• Failure to provide necessary verification information required for shipping within a reasonable timeframe.
• Inability to complete delivery after reasonable attempts, or your failure to collect the items within the prescribed window.
• Detection of bulk or commercial multi-unit purchasing behavior as outlined in Clause 2.6.
• Unavailability of product stock.

2.6 Bulk and Commercial Purchases

The Site is intended for consumer retail use. We reserve the absolute right, at our sole discretion, to reject or cancel orders that exhibit indicators of bulk purchasing, commercial hoarding, or multiple units of identical/similar items.

3. Shipping and Delivery

3.1 Shipping Costs and Timelines

Applicable shipping rates and estimated delivery timelines will be displayed clearly at the time of checkout.

3.2 Delivery Delays and Failures

• Force Majeure/Delays: If a delivery is delayed by events beyond our reasonable control, we will notify you promptly and make reasonable efforts to mitigate the delay.
• Unattended Deliveries: If no one is available to receive the shipment, instructions on re-arranging delivery or warehouse collection will be provided.
• Abandonment: If you fail to re-arrange delivery or collect the item after multiple reasonable attempts, the order will be cancelled, and a refund process will be initiated subject to applicable deductions.

3.3 International Shipments (Overseas Delivery)

For products shipped from overseas, you are legally considered the Importer of Record. Consequently, you must ensure compliance with all laws and regulations of the destination country.

• Duties and Taxes: Overseas orders may be subject to customs duties, import taxes, and administrative clearances upon arrival. All such additional overheads must be borne entirely by you.
• Customs Inspections: International packages are subject to opening and regulatory inspection by customs officials.

3.4 Transfer of Title and Risk

Ownership and risk of loss or damage to the products transition to you upon successful delivery to the specified address, provided full payment has been secured.

3.5 Electronic Invoicing

A legally valid electronic invoice will be generated for your purchase and dispatched to the email address registered to your profile.

4. Returns, Replacements, and Exchanges

Returns, replacements, and exchanges are categorized according to the criteria detailed below:

4.1 Non-Returnable Products

The right of return, replacement, or exchange does not apply to:

• Products classified as hazardous materials or utilizing flammable liquids/gases.
• Items showing clear signs of use, customer-inflicted damage, or altered conditions.
• Consumables that have been unsealed, installed, or depleted.
• Products with missing, obscured, or tampered serial numbers.
• Hygiene and personal health-sensitive items including food, beverages, cosmetics, swimwear, undergarments, hosiery, contact lenses, personal care items, and specific baby care products (e.g., diapers, teethers, feeding apparatus).
• Unsealed digital media, books, software, video games, and multimedia discs.

4.2 Return Processing and Refunds

To initiate a return, navigate to the Account portal and select Need Help?.

• Fault/Error Refunds: If the return stems from a product defect, a description discrepancy, or our error, you will receive a full refund of the product price along with original and return shipping fees.
• Discretionary Refunds: For change-of-mind returns, the product price will be refunded (excluding original shipping charges), and the direct cost of return freight will be your responsibility.
• Pre-Shipment Cancellation: Orders cancelled prior to dispatch qualify for an automated full refund.
• Refund Method: Cash on Delivery (COD) transactions will be refunded exclusively as store credit via your digital wallet. Card payments will be credited back to the source account within seven (7) days of the item being inspected and approved at our fulfillment center.

5. Product Defect and Warranty Policy

5.1 Warranty Scope

• New Electronics: Standard twenty-four (24) month warranty for electronics sold within the Kingdom of Saudi Arabia (KSA).
• General Non-Electronic Products: Select items carry a twelve (12) month warranty covering material, design, or manufacturing defects.
• Refurbished Products: Eligible items carry a maximum six (6) month warranty.
• Remedies: Warranty remedies are restricted to repair, component replacement, item replacement, or a refund equivalent to the purchase price, evaluated at the seller’s sole discretion. Refer to individual listings to verify warranty coverage.

5.2 Service Standards by Category

Warranty repairs are managed via Authorized Service Centers. If the product is fulfilled by a third-party seller, that merchant’s specific warranty terms supersede this section.

Important Notice: In compliance with manufacturer and service center policies, you must retain the product’s original packaging to validate and claim warranty services.

5.3 Warranty Exclusions

The warranty stands void under the following conditions:

• Repairs attempted by service centers not formally authorized by the seller.
• Physical damage (e.g., cracked screens, structural bends, severe dents, impact indicators).
• Liquid ingress or water damage (indicated by internal moisture sensors changing color).
• Software modifications, operating system alterations, or unofficial firmware adjustments (e.g., Android rooting, iOS jailbreaking).
• Utilization of non-original or third-party unauthorized power adapters and accessories.
• Altered, defaced, or removed product serial numbers.
• Routine maintenance, periodic checks, and standard wear-and-tear of consumables (e.g., batteries, fuses, ink cartridges, bulbs).
• Damage caused by battery overcharging or failure to adhere to the core guidelines outlined in the product manual.

6. Warranties, Representations, and Undertakings

You expressly warrant and represent that:

• You will fully comply with all regional and international laws, regulations, and statutes, including but not limited to privacy and data protection frameworks.
• You possess the absolute legal capacity and authority to enter into these Terms and execute due payments.
• If purchasing on behalf of a corporate entity, you are an authorized representative empowered to bind said entity to these Terms.

Except as explicitly detailed herein, our services and products are provided on an “as is” and “as available” basis. We disclaim all implied or collateral representations, warranties of merchantability, and fitness for a particular purpose.

7. Limitation of Liability

7.1 Unrestricted Liability

Nothing within these Terms limits or excludes either party’s liability for:

• Fraud or fraudulent misrepresentation.
• Death or personal injury resulting directly from verified negligence.
• Any statutory liability that cannot be legally limited or excluded under KSA jurisprudence.

7.2 Excluded Damages

Subject to Clause 7.1, neither we nor our parent companies, subsidiaries, directors, employees, or suppliers shall be held liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data corruption, business interruption, hardware damage, or system downtime arising out of or connected to your purchase or use of products from the Site.

7.3 Financial Cap on Liability

Subject to Clause 7.1, if any provision within this section is found unenforceable, our total cumulative financial liability to you under any legal theory (contract, tort, statutory breach, or otherwise) shall be strictly capped at the lesser of:

1. The actual purchase price paid for the item on our Site including shipping costs; or
2. AED 300 (or its equivalent in SAR).

7.4 Indemnification

You agree to defend, indemnify, and hold harmless protechksa, its affiliates, directors, and workforce against any legal claims, losses, costs, liabilities, and expenses (including legal fees) arising from your breach of these Terms, violation of any third-party rights, or infringement of applicable regulatory laws.

8. General Legal Provisions

8.1 Governing Law

These Terms of Sale, along with any contractual or non-contractual disputes arising hereunder, shall be governed by, interpreted, and construed in accordance with the laws of the Kingdom of Saudi Arabia (KSA).

8.2 Dispute Resolution

• Amicable Resolution: In the event of dissatisfaction, you agree to first seek resolution by submitting an inquiry via the Need Help? portal within your account.
• Judicial Recourse: If a mutually agreeable settlement is not reached within forty-five (45) days of the initial formal notification, the dispute shall be referred to and finally adjudicated by the competent courts of the Kingdom of Saudi Arabia.

8.3 Third-Party Rights

No part of these Terms is intended to confer enforceable rights or remedies upon any person or entity who is not an explicit party to this agreement.

8.4 Relationship of Parties

Nothing contained in these Terms shall be construed to create a partnership, joint venture, or agency relationship between you and us. Both parties operate strictly as independent contractors.

8.5 Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms to any third party without our prior written consent. We reserve the right to transfer or assign our rights and obligations under this agreement freely.

8.6 Severability

If any covenant, condition, or provision of these Terms is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, that specific provision shall be severed, and the remaining clauses shall continue in full force and effect.

8.7 Amendments to Terms

We reserve the right to update, modify, or amend these Terms of Sale at any time. Amended versions will be posted directly to the Site and will take effect immediately upon posting. Your continued interaction with the Site following updates constitutes binding acceptance of the revised Terms.

8.8 Force Majeure

Neither party shall be held liable for failure or delay in executing obligations if such failure stems from events beyond reasonable control, including acts of God, labor strikes, regulatory embargoes, infrastructural power blackouts, pandemic interventions, or governmental mandates.
